Professional experience

Nicolas’s practice is focused on shareholder disputes and directors and officers liability. He has cutting-edge expertise with respect to shareholder oppression remedies, including legal questions relating to business valuation, interpretation and application of shareholder agreements, enforcement of shotgun clauses, and the exercise of statutory and contractual rights of shareholders and directors. Besides acting in the context of judicial proceedings, he advises start-up businesses in relation to various issues they face in relation to financing and governance.

Nicolas also manages complex multijurisdictional commercial disputes raising issues of private international law, including proceedings involving foreign states. He has been involved in several important cases pertaining to the recognition of foreign judgments and arbitration awards.

He has extensive experience in extraordinary remedies such as injunctions and seizures, as well as Anton Piller (civil search warrants), Mareva (asset freezing) and Norwich (disclosure of information) orders.

Representative work

  • Successful challenge of a provisional injunction to suspend a contract awarded further to a call for tenders to Sectra Canada for the supply of medical imaging systems valued at over $600 million.

  • Representation of an aircraft lessor in the context of proceedings against the United Republic of Tanzania seeking the recognition of a $50 million foreign judgment and the seizure before judgment of two Airbus aircraft under construction.

  • Representation of Hydro-Québec before the Supreme Court of Canada in relation to the interpretation of a 1926 electricity supply contract.

  • Represented Canadian Royalties Inc. in a claim of more than $70 million against engineering firms and a contractor following the collapse of a major causeway under construction for a mining project.

  • Represented Canora Capital in the successful dismissal of a request for a temporary injunction against seeking to prevent it from acquiring an income property based on allegations of unfair competition.

  • Obtained a safeguard order against the purchasers of Laboratoire Du-Var Inc., a cosmetics and health product manufacturing company, to prohibit payments to related companies and the distribution of dividends in the context of a claim for the balance of the sale price by the former shareholders of the company.

  • Represented Groupe Atwill-Morin in obtaining a first-instance judgment compensating it for the loss of profits it suffered following the unjust disqualification of its bid in the context of a call for tender issued by Construction Defense Canada for a important contract for the refurbishment of a military building.

  • Representation of a transportation company and of affiliates in the context of a shareholders dispute and of claims based on a non-competition covenant.

  • Represented the Republic of Iraq in proceedings instituted in Quebec by foreign creditors seeking to obtain the recognition and enforcement of foreign judgements and arbitral awards.

  • Representation of CIC Capital, the Canadian venture capital subsidiary of the French bank Crédit Mutuel de France in the context of a shareholder dispute.

  • Representation of a minority shareholder of Craig Packaging, an industrial company, in the context of shareholders disputes concerning the appointment of directors and the forced redemption of shares.

  • Representation of SGS Canada, the Canadian subsidiary of a multinational company specializing in non-destructive testing, in a multimillion-dollar lawsuit related to its quality assurance work for the reconstruction of the bike path on the Champlain Bridge's Estacade.

  • Representation of one of the largest maple syrup processors in Quebec in a shareholder dispute concerning the challenge of a forced share buyback under the provisions of a shareholder agreement.

  • Representation of Fieldex Exploration, a junior mining company, and of its president in obtaining the dismissal of a +$5M claim instituted by a prospector.

  • Providing advice and representation to various start-up companies, investors and boards of directors in the context of pre-litigation disputes related to venture debt financing and corporate governance.

  • Anton Piller, Mareva and Norwich Orders: obtained and enforced an Anton Piller (civil search), Mareva (asset freeze) and Norwich (disclosure of information) orders for matters related to fraud.

  • Act as independent supervisor mandated by the Court to oversee the execution of Anton Piller orders.
